Norton W. Lazarus
Managing Director

Mr. Lazarus is the President of OEM Capital Corp.

Mr. Lazarus founded Belgrave Capital Corporation in 1983 as an investment banking firm specializing in mergers and acquisitions; in 1985, these activities became part of OEM Capital. Prior to that, Mr. Lazarus had been a Vice President and Senior Professional of Chase Manhattan Capital Markets Corporation, with responsibility for Leveraged Buyouts and Mergers & Acquisitions. Prior thereto, Mr. Lazarus managed the Corporate Finance Department at Elmco Holding Ltd., London, and before that was a Senior Executive in the Corporate Finance Department at Slater Walker Securities Ltd., London. He was formerly with the London office of Peat, Marwick, Mitchell & Co.

Mr. Lazarus holds a Master's Degree in Management from Massachusetts Institute of Technology, where he was an Alfred P. Sloan Fellow, and a Master's Degree in Business Administration from the University of Cape Town, where he was an Old Mutual Scholar. Mr. Lazarus is a Chartered Accountant.

Toby D. Goldfarb
Managing Director

Mr. Goldfarb is the Vice President of OEM Capital Corp.

Prior to joining OEM in 1994, Mr. Goldfarb was the Chief Executive Officer, President and controlling shareholder of Vera Imported Parts Corporation, a $40 million importer and nationwide distributor of automobile and truck parts for foreign cars and light trucks. After selling this business to a large public company in 1986, Mr. Goldfarb continued as its Chief Executive Officer for several years. In 1988, Mr. Goldfarb founded Otremba Capital, Inc. Otremba is a principal in several acquisitions including light manufacturing businesses and real estate related investments, and also provided business consulting services. Mr. Goldfarb was also a principal and Managing Director of Somerset Holdings, Ltd., a merchant banking firm which provided financial management, restructuring counsel, interim operating management and capital investment from both its own funds and from co-investors.

Mr. Goldfarb attended New York University, Adelphi University and The Harvard Business School.

John Schwarten
Principal

Prior to joining OEM Capital in 2007, Mr. Schwarten was a Director with Executive Sounding Board Associates, a management consulting firm. Previously he held CEO and CFO positions with diverse companies. Mr. Schwarten worked in international banking at New York City and was a Vice President with Bankers Trust Company before joining Banque Worms to become Senior Vice President where he managed the commercial and merchant banking functions for its US operations.

Mr. Schwarten holds a Bachelor's Degree from the University of Wisconsin and a Masters Degree from the University of Chicago

OEM Capital's Asset Recovery & Restructuring Group has a cadre of professionals who have completed successful asset recovery assignments. In addition to these professionals, OEM has affiliations with a select number of well-regarded crisis and turnaround management firms located in major cities throughout the U.S.

Sharon Anstey has extensive sales and marketing experience derived from a broad range of industries. Her strategic input is invaluable particularly when coupled with strong implementation skills. Upon arriving in the US from her native South Africa in the mid 1980s, she spent six years with Marketing Corporation of America working in every aisle of the supermarket on assignments ranging from brand repositioning to portfolio assessment. As healthcare became more market-driven through the 1990s, her skills were called upon in organizations such as Reuters and GHI. Currently, she is responsible for international sales and market development for a New York based e-learning company. Ms. Anstey was educated at the University of Cape Town, Rhodes University and the University of the Witwatersrand.

Thomas I. Apperson has 30 years of experience in corporate workouts and restructuring. He has spent the past 9 years as a financial consultant, primarily to underperforming or troubled companies, but has also provided advice on financial modeling, valuation, strategic planning and restructuring to companies seeking growth, financing or divestiture. Most of the 21 years prior thereto, Mr. Apperson was an officer in the workout departments of two major New York based commercial banks. He holds a Bachelor of Science degree in Applied Mathematics from NorthCarolina State University and an MBA degree from Fordham University.

Nicholas J. Dmytryszyn has over 20 years of business management, financial system implementation, and management consulting experience in both public and private industry, as well as the government sector. His industry experience encompasses manufacturing, distribution, retail and telecommunications primarily focusing on crisis management and the successful introduction of change into an organization. Mr. Dmytryszyn was the Chief Financial Officer for Zona, Inc., Nantucket Industries, Inc, Universal Valve Inc and held senior positions in several mid market manufacturing and distribution companies. Mr. Dmytryszyn holds a Bachelor of Science degree in Accounting.

John Moore holds a B.S. in Finance and Banking, a masters degree in Business Administration from the University of Connecticut and is a licensed Certified Management Accountant. Mr. Moore has over 20 years of experience in private industry, including over 10 years of serving as a senior financial and executive officer. Areas of specific industry experience include heating oil, plastics, hospitality, fasteners, publishing, and graphic arts, furniture, energy products, and plant construction.

Nicholas Puglisi holds a B.B.A. in Accounting from Iona College and is a CPA, licensed by the states of New York and Pennsylvania. Mr. Puglisi has extensive and diverse experience in financial statement preparation in respect of private and publicly held entities as well as forecasts and projections, forensic services and due diligence services. Mr. Puglisi has supported client financing efforts for expansion and restructuring.

Miles M. Shanley has a strong background in transportation, services and manufacturing. Prior to becoming a full-time consultant in 1998, Mr. Shanley held the position of vice president of finance and chief financial officer of New England Motor Freight, Inc., a $170 million diversified transportation services company. He was previously chief financial officer of Plymouth Rock Transportation Corporation, a $50 million regional diversified transportation company. Prior thereto, he held the position of chief financial officer of R.P. Industries, a New York based $25 million real estate and parking company. Mr. Shanley was previously vice president and general manager of the trailer division of Flex-Van Corporation. Prior to that he held the position of controller at the rail car division of FSC Corporation, various position at Hertz Corporation culminating with division manager and senior financial analyst at General Foods Corporation. Mr. Shanley holds degrees in accounting from University of Rhode Island and Bryant College.
